Robert Half Attorney/Lawyer in Washington, District Of Columbia

Description

We are looking to recruit an experienced Attorney/Lawyer to provide legal services in our law firm based in Washington, District of Columbia. The successful candidate will be handling corporate legal matters, including mergers and acquisitions, and will be part of a hybrid work schedule.

Responsibilities:

• Provide legal counsel on complex mergers, business restructurings, equity purchase and sale transactions, and executive compensation.

• Assist in drafting and negotiating purchase agreements, financing agreements, and other transaction documents.

• Participate in coordinating due diligence procedures and closings.

• Handle the representation of buyers and sellers in complex business transactions.

• Work on financing rounds from individual investors as well as private equity and venture capital firms.

• Aid in the formation and structuring of entities and limited liability company agreements.

• Manage the preparation and review of shareholders agreements, partnership agreements, and employee incentive plans.

• Oversee corporate governance matters and maintain compliance with relevant laws and regulations.

• Support the negotiation and execution of commercial lending transactions.

• Handle inquiries from clients and provide prompt, accurate legal advice.

Requirements

• Must hold a valid license to practice law in DC or able to waive in.

• A minimum of 10 years of experience as a practicing Attorney/Lawyer.

• Demonstrable expertise in Mergers & Acquisitions (M& A).

• Solid understanding and hands-on experience with Corporate Governance.

• Ability to interpret, analyze and draft complex legal documents.

• Excellent negotiation and communication skills.

• Strong ethical and professional conduct.

• Ability to work independently and as part of a team.

• Excellent problem-solving abilities and superior analytical skills.

• Must possess strong organizational skills and the ability to manage several projects at once.

• Proficiency in using legal research software and other related tools.

• Outstanding interpersonal skills with the ability to build strong relationships with clients.

• Must be able to maintain confidentiality and exercise extreme discretion.

• Excellent written and oral communication skills.

• Strong decision-making abilities and attention to detail.
