RESPONSIBILITIES

  • Support Danaher’s 34 Act reporting and disclosure control obligations, including monitoring SEC rulemaking and trends for items of relevance to Danaher; benchmarking peer practices as needed; supporting Danaher’s annual and quarterly earnings and reporting processes, including reviewing 10-Ks, 10-Qs, 8-Ks, earnings releases and earnings scripts, drafting disclosures as needed and managing exhibits; participating in and taking minutes for disclosure committee meetings; helping develop and maintain documentation of Danaher’s disclosure controls (including supporting the development and maintenance of controls relating to Form 8-K filing requirements) and maintaining Danaher’s subcertification forms; and drafting and maintaining policies to address new regulatory requirements.

  • Support Danaher’s annual meeting process, including support with respect to the annual proxy statement, shareholder proposals, managing Broadridge and the annual report/proxy distribution process, the planning and execution of the annual meeting, and the annual D&O Questionnaire process.

  • Review all Section 16 reports prior to filing and coordinate with the paralegal who has responsibility for the Section 16 program to address legal issues as needed.

  • Support Board/committee processes and administration, including with respect to maintenance of charter, bylaws, committee charters and other key documentation; supporting preparation of Board/committee materials as needed; performing research and benchmarking; supporting oversight of Board and committee minute books and other records and documentation.

  • Oversee Danaher’s subsidiary management program, including supervision of the paralegal who has responsibility for the program; responsibility for key program documentation including the Subsidiary Management Policy and Shared Services Agreement; regularly interface with Danaher’s corporate tax department on matters relating to the Subsidiary Management Program; oversight of the PwC global subsidiary management program, Wyatt Tarrant domestic subsidiary management program (including forms and processes relating to maintenance of the domestic minute books) and CT Corporation registered agent and annual filing compliance program; oversight of the design and operation of the Blueprint subsidiary management database; oversight of the network of platform subsidiary management professionals; and oversight of the entity elimination due diligence process.

  • Provide legal support for Danaher’s equity compensation program, including supporting the maintenance of and updates to Danaher’s stock award agreements, stock plan and other documentation; providing legal advice to the corporate compensation department regarding application of Danaher’s stock plan and stock award agreements; and supporting Danaher’s global equity compensation compliance program, including managing and interfacing with outside counsel with respect to global equity compliance standard work.

  • Support Danaher’s public offerings of debt and equity as needed, including responding to due diligence requests and reviewing draft disclosures; and provide other support for corporate treasury department as needed.

  • Manage Danaher’s Form S-8 compliance program, including managing registration statements and stock plan share counting.

  • Provide legal support to the corporate investor relations department, including reviewing investor relations presentations.

  • Support Danaher’s insider trading program, including assistance answering questions, maintaining/updating Insider Trading Policy as needed, overseeing program structure, providing training as required and helping oversee paralegal who manages the preclearance program.

  • Support with respect to new director and executive officer onboarding as needed.

REQUIREMENTS

  • Keen attention to detail; discretion in dealing with highly-sensitive information

  • Superior analytical skills and creative problem-solving ability; work well independently; identify issues and use independent judgment to solve problems and provide solutions

  • Be flexible and effective in a dynamic, fast-paced environment

  • Demonstrated ability to engage and communicate comfortably and effectively with individuals in a wide range of functions, and at a wide range of levels, throughout the organization

  • Ability to work under pressure, handle complex change management and prioritize key activities

  • Tech savvy and excellent PC Skills, including working knowledge of Microsoft Office products.

QUALIFICATIONS

  • Bachelor's and JD degrees

  • 5 years of experience in the area of corporate/securities/governance law

The salary range OR the hourly range for this role is $230,000-$240,000. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range. This range may be modified in the future.

This job is also eligible for bonus/incentive pay.

Ideally, this role will be located at our headquarters in Washington, DC. We will consider #REMOTE for highly qualified applicants with relocation expected within two years.
