Job Description - Manager, Corporate Compliance and Ethics

Position Description

Manage the Company’s Corporate Compliance Program (“Program”). Assist with and manage the intake, analysis, investigation and resolution of compliance and ethics reports for Tucson Electric Power Company and its affiliated companies (“Company”), maintaining utmost level of confidentiality of sensitive matters. Maintain up-to-date knowledge of best practices in corporate compliance functions including with respect to compliance and ethics-related investigations, training and managing a corporate compliance program. Maintain records, conduct analysis, employ metrics and generate reporting related to various aspects of Program functions. Develop and implement effective communications strategy for Program and related employee training. Collaborate with other business areas to interpret requirements, identify and assess compliance risks and vulnerabilities, and develop, implement, and evaluate mitigation plans. Develop risk assessment process and mapping for all areas of compliance throughout the organization and lead and manage risk assessments.

Position-Related Responsibilities

Program Management and Oversight

· Keep abreast of industry best practices and legal developments affecting the Program

· Evaluate Program effectiveness, including by developing performance metrics

· Assist the Chief Compliance Officer in developing long-term Program strategy

· Develop effective employee communications strategy and provide leadership in the development, deployment and continuous improvement of the Program

· Develop solutions to identify compliance and ethics trends and implement proactive risk mitigation plans and initiatives

· Maintain Program records, including individual training records

· Create and promote the development and implementation of corporate compliance, ethics and conflict of interest training curriculum, including web-based content, and conduct related trainings including annual Compliance Month training, ad hoc training sessions and annual Compliance Week content

· Manage Corporate Compliance Committee meetings, including scheduling, taking minutes, preparing agendas, coordinating presentations, and providing as-needed compliance updates

· Track and oversee compliance with compliance-related deadlines

· Identify potential areas of compliance vulnerability and risk, participate in risk assessments with the assistance of Internal Audit and Risk Advisory Services, Legal Services and other Company departments and develop/implement risk mitigation plans

Compliance and Ethics Investigations

· Assist the Chief Compliance Officer as the organization’s internal control point for compliance, ethics and conflict of interest allegations

· Maintain utmost level of confidentiality of sensitive compliance and ethics-related matters

· Coordinate, manage, administer and maintain the Company compliance helpline and assist in preparing and maintaining accurate records of the prompt and full investigation and resolution of all compliance and ethics matters reported through the helpline and other reporting channels

· Conduct and oversee investigations regarding regulatory compliance, harassment, conflicts of interest, retaliation, fraud, and other compliance and ethics-related matters

· Where appropriate, collaborate with other business areas including Human Resources, Internal Audit and Risk Advisory Services and Legal Services, and with external attorneys, consultants and other key stakeholders, to identify, investigate, coordinate and resolve compliance and ethics matters

· Review and prioritize reports of non-compliance

· Address risk factors in conducting investigations and addressing compliance and ethics concerns

Policy Management

· Maintain and update the Company’s compliance and ethics standards and related corporate policies, procedures, guidance, and training materials, and assist in creating new such corporate policies, procedures, guidance and training materials

· Facilitate and guide the creation of new corporate policies, procedures, guidance and training materials

· Manage the periodic evaluation and internal review of other Company policies and procedures to ensure consistency and integration with the Company’s values

General

· Develop and maintain effective inter-departmental and interpersonal relationships

· Attend training and seminars, as needed, on corporate compliance and ethics-related topics

· Interface and network with counterparts at other utility companies and trade associations regarding corporate compliance and ethics matters

· Prepare compliance materials and provide related updates for the UNS Energy Audit and Risk Committee, senior management, and Fortis Inc., regarding compliance and ethics trends, surveys and results

· Perform additional duties as assigned by the Chief Compliance Officer

· Manage available resources to support compliance priorities across all business areas

· This position may provide services to affiliates of the Company subject to the UNS Energy Code of Conduct and related policies and procedures

· Supervise, provide direction to, review, evaluate and manage performance of other employees in the Compliance and Ethics Department

· Participate in department strategy, including evaluating the department structure and work distribution plan for improvement, efficiency and effectiveness, and to facilitate work force and succession planning

· Ensure that the Company’s and the department’s management principles, policies and programs are consistently practiced, and continually support the Company’s mission, values and strategic initiatives, including diversity, equity and inclusion and the Company’s Affirmative Action Plan

· Ensure that the Company Performance Management program is administered uniformly and effectively with respect to those the position supervises

· Maintain licensure as a compliance professional as appropriate for the position

Knowledge, Skills & Abilities

(Equivalent combination of education and experience will be considered.)

Minimum Qualifications

  • Bachelor’s degree in human resources, accounting, marketing, or other position-related field.

  • Excellent written and verbal communication, critical thinking, analytical, problem-solving, planning, research, and organizational skills.

  • Ability to collect, analyze and interpret compliance and ethics-related data.

  • Proficiency in use of personal computer applications, including internet research, spreadsheet, word processing, and presentation software.

  • High attention to detail in composing, typing, and proofing materials, establishing priorities and meeting deadlines.

  • Strong interpersonal skills with employees across the Company, including senior management.

  • Ability to manage high levels of stress in dealing with sensitive employee and compliance issues.

  • Required to travel to other locations as needed.

  • Ability to diligently protect and maintain confidentiality of sensitive employee and compliance matters and review objectively.

  • Experience conducting confidential investigations, and analyzing, summarizing and reporting findings.

  • Manages corporate policies and procedures program: collaborates with responsible departments to organize/format content, routes for timely review and publishing.

  • Working knowledge of compliance requirements and applicable employment laws and regulations or ability to spot issues for elevation to Company legal counsel and regulatory coordinators.At least five years of experience as compliance and ethics professional in applicable substantive practice areas and in the electric and/or gas utility industry, as determined necessary for the position. Other relevant experience, including supervisory experience and job performance may be considered.

  • Proven ability and track record of performing the above applicable position-related responsibilities at an expert level of proficiency.

  • Performs work independently in assigned practice areas, and routinely and expertly handles complex matters, making recommendations on strategic decisions to senior management, the Chief Compliance Officer and Corporate Compliance Committee, as appropriate.

  • Thinks strategically and contributes to the department’s strategic objectives and goals, as well as to the greater strategic goals and objectives of the Company.

  • Ability to coordinate with legal counsel to proactively track, summarize and interpret relevant changes to regulations and laws and assess and communicate how they may affect Company business areas.

  • Initiates and may lead process improvements within the department and in collaboration with other departments.

  • Manages projects of varying duration and complexity.

  • Demonstrates strong leadership skills and proven ability to develop others.

Preferred Qualifications:

  • Master’s degree, graduate or other advanced degree.

  • Experience in training, communications or marketing

  • Certified Compliance and Ethics Professional certification.

Pay Rate: Salary determined based on candidate's experience & qualifications.
