Citigroup Senior Lead Counsel 1 -Market Data (Hybrid) in Tampa, Florida

The Operations & Technology, IP and Cyber law group at Citi seeks to fill an attorney role with responsibility for market data agreements and licensing arrangements. The person in the role will be a talented, problem-solving attorney with technology and intellectual property experience.

Key responsibilities: The person in this role will serve as an essential strategic partner to stakeholders and help to identify business risks and define company policies and procedures. The role will work with colleagues in the business and functions across Citi worldwide and be responsible for advising, counseling, structuring and negotiating technology, market data, index and intellectual property related transactions and contracts. This role will review and negotiate market data agreements with exchanges and data providers and also provide legal support for matters involving in-house content, data and analytics platforms.

Main responsibilities include negotiating and drafting a wide range of market data and licensing agreements, including subscription-based business models, for North America and Global enterprise use. Many agreements support global frameworks and require flexibility to adapt a global model to specific and varied local legal, regulatory, and business requirements. Additional responsibilities include reviewing, negotiating, and providing advice regarding complex commercial transactions, data issues, regulatory concerns, contract disputes and general corporate inquiries.

Additionally, the role will:

  • Partner with vendor relationships managers to review licensing terms and advise on new products and services.

  • Work closely with internal business clients and other attorneys to draft and negotiate contracts and implement processes and policies to create operational efficiencies and consistencies in add efficiencies while reducing risk.

  • Provide advice and counsel on financial services- related technology and intellectual property related products and transactions with a focus on data and analytics services, data and index licensing, open source licensing, data security and data use issues.

  • Draft, structure and negotiate a variety of intellectual property licenses, including complex data – related partnerships and market data vendor agreements.

Qualifications and Skills sought:

  • Minimum 8 to 10+ years total legal experience.

  • Experience with IP licensing/tech transactions, data, corporate, financial services, M&A or other transactional based work; and as a member of an in-house legal team, preferably with a technology, professional services or financial services company preferred.

  • Experience drafting and negotiating and advising clients on challenging and complex data licensing transactions. Experience advising in the financial and/or technology sector.

  • Exceptional communication and interpersonal skills, and a strong team orientation; ability to communicate confidently with senior management on complex legal and contractual issues; ability to explain legal issues clearly to business and technology professionals.

  • Experience with financial indices or index licensing.

  • Highly organized with the ability to manage multiple projects and clients.

  • Demonstrated ability to engage and complete transactions quickly and effectively, with minimal supervision.

JD and relevant bar membership required.

Position is a hybrid role and can be based either in our NYC or Tampa office (no relo provided)
