Corporate Governance and Secretariat

The US Legal Department of NatWest Markets is looking for someone to run its corporate governance and secretariat function in the United States. The person’s primary responsibility will be to provide corporate governance and secretariat services, including board and committee support, but will also need to assume significant responsibilities for a number of other important functions within the Department. We are looking for a self-directed person with careful attention to detail.

Responsibilities

  • Implement and maintain best practices for the corporate governance and secretariat function in the United States.

  • Support the region’s board of directors and management committees, including by coordinating with senior executives to set agendas and priorities, compiling and distributing meeting packs, conducting meetings, drafting minutes, and tracking post-meeting actions.

  • Manage and maintain the region’s licenses and corporate qualifications and assist with required filings or other notifications to relevant regulatory authorities.

  • Ensure that required corporate records are created and maintained as appropriate.

  • Maintain authorized signatory documentation and delegations for all regional entities in conjunction with counterparts globally.

  • Assist in the documentation and implementation of various policies and procedures.

  • Monitor developments in law and policy (legislation, court decisions, policies and procedures) and implement responsive actions to ensure compliance and mitigate risk.

  • Generally, support and drive the firm’s commitment to good governance and ethical conduct.

  • Provide advice to various businesses in negotiating contracts with third-party vendors.

  • Support business in managing property-related issues as and when they arise.

Qualifications and Attributes

  • Substantial prior experience in corporate governance.

  • Excellent written and verbal communication skills.

  • Superior organizational, administrative, and interpersonal skills.

  • Ability to work independently and take ownership of important issues.

  • Experience working under pressure to meet competing demands and priorities.

  • High degree of personal integrity and credibility.

  • Desire to learn and grow.

  • 3-5 years experience working in a corporate governance function interacting with senior leadership ideal, but not required

  • Law degree/bar admission preferred, but experienced non-lawyer candidates are welcome.

The expected base annual salary range for this position is $190,000 - $220,000 at the start of employment. This is not a guarantee of compensation. The exact compensation is determined on an individualized basis and may vary based on skills, experience, training licensure, certifications and location. In addition to base salary, our total rewards package also includes eligibility for an annual discretionary bonus; medical, dental, and vision plans; life and disability insurance; employee wellness programs; retirement and savings plans with potential employer contributions; generous paid time off policy, parental leave and tuition reimbursement.
