About the role

As Senior Counsel, Executive Compensation, you will be a member of HP's worldwide Employment Law Team and report to the Associate General Counsel, Global Head of Employment Law. The ideal candidate considers legal and reputational risk as well as operational considerations for a large employer, and provides clear advice to clients, analyzes legal problems and conducts thorough legal research, can manage and prioritize their workload efficiently without excessive supervision, and is skilled in interacting and communicating clearly with human resources and finance professionals, other legal colleagues, and internal clients at all levels.

The attorney in this position is expected to establish and maintain credibility and trust with clients, business stakeholders, other legal team members and colleagues. Also, stay current and ensure compliance with all relevant laws and regulations; counsel on risk mitigation; track industry trends that impact the company; supervise, manage and evaluate outside counsel; educate clients and stakeholders; and otherwise lead and independently handle matters and projects ranging from the basic to the complex; recognizing when to elevate certain matters to the attention of the Associate General Counsel. You will also have the opportunity to work on global projects, such as those that come out of restructuring and transformation and may need to be simultaneously applied across many or all of our legal jurisdictions.

Key Responsibilities

• Assist in the design, modification, drafting, and implementation of effective

executive compensation plans, programs, and arrangements, including cash

incentive plans, severance agreements, nonqualified deferred compensation

plans, and equity incentive plans

• Advise on compliance with securities disclosure, registration statements,

and stock exchange listing standards

• Monitor and analyze regulatory developments and best practices in

executive and equity compensation

• Assist the corporate governance function relating to executive

compensation plans

• Due diligence, negotiation, drafting of executive compensation issues

in M&A transactions

• Advice and counsel regarding executive and/or equity compensation for multi-national companies

• Engage in a collaborative working approach with executive leadership,

management, colleagues, clients, and third-party vendors

• Ability to analyze complex and changing laws and translate those laws into

practical advice and business application

• Strong problem-solving

• Commitment to work in a cross-functional and diverse environment

• Provide budget oversight.

• Collaborate, challenge ideas, provide clarity and feedback

Requirements

Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment; attorney must be a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction.

Experience

• Significant experience with relevant executive compensation provisions of the Internal Revenue Code (e.g., 409A, 280G, 162(m) and 83)

• 6+ years related experience

• Exercises discretion and maintains confidentiality of sensitive information

• Demonstrates ethics and integrity

• Has relevant law firm or in-house legal department experience

• Able to interact with all levels of personnel

Knowledge/Skills

Desired subject matter expertise includes significant experience with ERISA, executive compensation-related SEC regulations and disclosure requirements, including Regulation S-K, executive compensation plans, programs, and arrangements offered by publicly traded companies.

Education

Advanced university degree in law
