Role Description

As Legal Director -- Corporate (Compensation & Benefits), you’ll be a key leader of our corporate legal team and the primary legal support for Splunk’s global compensation and benefits programs, as well as executive compensation. This is a phenomenal opportunity to join a growing team and to work on a wide variety of groundbreaking issues in an exciting, fast-paced environment. This role will partner closely with Splunk’s global compensation and benefits team and other cross-functional partners on world-class employee benefits programs as well as executive compensation matters, providing strategic advice as well as ensuring compliance. The role reports to the VP, Corporate Legal and is based in Splunk’s corporate HQ in San Francisco (location flexible).

Responsibilities

  • Partner closely with Splunk’s global compensation and benefits team on all aspects of global employee compensation and benefits, including the design, implementation, and administration of equity, bonus, retirement and health and welfare benefit programs

  • Guide on all aspects of Splunk’s executive compensation program

  • Advise on the structure, implementation and administration of qualified and non-qualified employee compensation plans, programs and arrangements, including the associated federal tax (e.g., Sections 409A, 162(m), 423 and 401(k)) implications

  • Advise on all aspects of Splunk’s qualified and non-qualified employee benefit plans and arrangements, including the design, implementation, administration, correction, amendment and termination of single-employer defined contribution retirement plans and welfare plans

  • Counsel Splunk’s Compensation Committee

  • Partner with and advise Splunk’s SEC reporting and corporate governance team on SEC and NASDAQ disclosures (including registration, proxy, periodic and Section 16 filings), ESG disclosures, stakeholder engagement, Board and Committee materials and various equity-related matters, including 10b5-1 plans

  • Partner with and counsel Splunk’s M&A and tax teams on transactional issues and due diligence support, including Section 280G analysis and identifying issues and aligning with the Internal Revenue Code, ERISA, applicable labor laws, federal securities laws and NASDAQ regulations

  • Partner with and guide Splunk’s stock administration team on employee equity issues and training

  • Partner with and advise Splunk’s payroll and tax teams on employment tax issues

  • Partner with and advise Splunk’s subsidiary management and global expansion team on international compensation and benefits issues

  • Partner with Splunk’s employment law team on compensation and benefits issues impacting employees and executives, including employment, consulting, termination, severance, change-in-control and restrictive covenant agreements and advise on the associated ERISA, federal tax, accounting, and securities implications

  • Stay up to date on legal changes affecting employee compensation and benefits, as well as executive compensation

  • Build positive relationships with business partners in People, stock administration, tax, payroll and legal to ensure the right level of support and collaboration

  • Support other corporate legal projects as needed

  • Manage outside counsel and supervise more junior team members as needed

Requirements

  • J.D. and good standing to practice law in the State of California

  • Minimum of 8 years experience passionate about compensation and benefits, and related tax, corporate governance and securities laws with at least five years at a top law firm; a combination of both tech in-house and law firm practice is preferred

  • Demonstrated understanding of relevant laws and standard methodologies and experience counseling management, boards and compensation committees

  • Able to thrive in a fast paced, dynamic environment of consistent rapid growth, including working with fast-paced tech driven companies

  • Demonstrated ability to effectively influence, lead, collaborate with and empower others at all levels, strong team, business, project and people management skills, strong business and legal negotiation skills and strong client counseling skills

  • Creative, with ability to solve sophisticated problems while balancing legal risks with business needs

  • High personal standards of excellence and ethics, as well as the ability to act with discretion, strict confidentiality and sensitivity towards issues and individuals

  • Highly developed curiosity, desire and ability to learn rapidly, resiliency and comfort serving as trusted business partner

  • Familiarity and comfort with technologies relating to Splunk’s products, services, and overall business preferred

    (Colorado only) Minimum base salary of $165,000.00. You may also be eligible for incentive pay + equity + benefits.Note: Disclosure per sb19-085 (8-5-201 et seq).
