Job Title:Corporate Counsel Location:Hybrid - Pittsburgh, PA or Latrobe, PA

Job Summary:

The Corporate Counsel is responsible for providing legal advice and assisting the organization with a wide range of commercial initiatives, contract matters, processes, disputes, and approvals. This role will work closely with other Office of General Counsel colleagues and business unit stakeholders to achieve business objectives within acceptable risk profiles. The position will be responsible for researching, leading and deploying best practices for legal advice on commercial matters with a focus on communication, integrity, and collaboration. Corporate Counsel also supports certain governance and policy committees and initiatives. The Corporate Counsel will act as a business partner, and is a champion of the company's mission, vision and values, and its cultural beliefs.

Key Job Responsibilities: Draft, analyze, and negotiate complex and routine commercial contracts, including non-disclosure agreements, master services agreements, SOWs, SaaS agreements, supply chain agreements, transportation agreements, licensing and other technology agreements. Manage contracting processes including implementation, support, policy development, and training. Manage a contract matter throughout the process, from intake or drafting through negotiation and execution, and assisting the business in on-going contract management and dispute resolution. Advise on performance issues and available contractual remedies. Keep abreast of changes in laws, regulations, and corporate governance best practices. Provide counseling to business partners on legal and business risks related to legal matters.

Serve on ESG steering committee and provide legal advice and recommendations.

Provide governance and regulatory research as required.

Education, Work Experience, Skills, Certificates Current license to practice law in at least one of the United States J.D. from accredited law school 3-5+ years of legal experience reviewing, drafting and negotiating contracts Exceptional interpersonal skills, including strong written and oral communications Excellent judgment, a high-quality orientation, with an ability to inspire trust and confidence with all relevant stakeholders High attention to detail Ability to set clear expectations on workload and timing of completion of deliverables Aptitude to multitask and be contemporaneously supportive of multiple customers Ability to listen Willingness to learn and implement feedback quickly Focus on acting as a business partner who can build and maintain relationships (both internal and external) Ability to keep information and activities confidential Agility in organizing projects and workloads Dependable, reliable, honest and respectful of others Able adapt behavior and communication style to fit the audience and context Openness to addressing new challenges with flexibility and practicality General document review and drafting Contract drafting and negotiation Contract compliance and risk management
