Essential Duties and Responsibilities:

Corporate Entity Maintenance – Handling and/or supervision of various aspects of corporate entity formation and maintenance, which may include the following:

  • Prepare Certificate of Formation, Operating Agreement, and foreign qualification documentation for all new entities

  • Coordinate and track foreign qualification filings with our corporation service

  • Acquire Tax ID Numbers (EIN) from the IRS for each new entity

  • Create and update formation checklists for each new entity

  • Update and circulate Tax ID list, entity organization chart and various database entries upon formation of each new entity

  • Supervise filing of all entity documents

  • Code and submit all corporation service invoices for payment

  • Work with outside legal counsel regarding preparation and distribution of Annual Reports and payment for all entities in the states in which they are qualified to do business

  • Lead monthly status call with each entity counsel

  • Process entity dissolutions, as needed

  • Respond to requests from counsel and ARE personnel for entity documents and information, as needed

  • Obtain from outside legal counsel and prepare for execution annual meeting minutes for Delaware and Maryland corporations

  • Work with outside counsel to ensure all entities in national and international jurisdictions are in good standing on an annual basis

Qualifications and Experience:

  • Bachelor’s degree, or equivalent combination of education and experience

  • Paralegal certificate from an ABA accredited school, a plus

  • Minimum of 5 years of paralegal experience

  • Must have strong attention to detail

  • Ability to work in a fast-paced environment, prioritize multiple projects and reliably meet deadlines

  • Excellent verbal and written communication skills

  • Must be team-oriented and self-motivated

  • Proven ability to develop strong client relationships

  • Advanced Word and Excel skills. Vizio experience a plus
