The Role

Lumen is seeking an Associate General Counsel – ERISA to advise Lumen on its employee benefit and compensation programs, including defined benefit, defined contribution and health and welfare plans. This position will advise senior leadership on significant and challenging legal issues and transactions requiring ERISA expertise, collaborate in developing strategy, and independently handle legal matters.

We’re looking for an attorney who searches for pragmatic and creative solutions to legal and compliance issues, anticipates and exceeds the client’s needs, understands the big picture and grasps the details, is able to manage multiple priorities, and is confident in interacting with senior leaders, government agencies, outside counsel, plan participants and plan vendors.

The Main Responsibilities

  • Advise on documentation, administration and governance of employee benefit programs, including defined benefit, defined contribution, health and welfare plans, in accordance with applicable ERISA, DOL and IRS regulations and guidance

  • Advise on plan design; Collaborate in evaluating, modifying and designing benefit programs to meet client goals, legislative and regulatory developments, and collective bargaining changes

  • Draft and amend plan documents, restatements, SPDs, SMMs, SARs, annual notices, and enrollment materials; draft government required reports

  • Manage governmental (DOL, PBGC, IRS) audits and inquiries related to benefit programs

  • Advise on benefits-related issues in mergers, acquisitions and divestitures

  • Support collective bargaining negotiations on compensation and benefit matters

  • Advise on ERISA-related pension and savings plan investment management issues and processes

  • Advise on executive and incentive compensation, non-qualified deferred compensation, fringe benefits, severance and bonus plans, as well as 409A issues

  • Support customer Requests for Proposals related to employee benefits

  • Advise plan fiduciaries and others on plan administration, with an active role in selection and monitoring of plan vendors and adjudicating benefit claim appeals

  • Advise on agreements (e.g., trust, record-keeping and administrative services agreements) with benefit plan vendors

  • Support compliance and administration, including required disclosures (Forms 5500, §408(b)(2), ACA reporting), non-discrimination testing, potential prohibited transactions, COBRA, HIPAA, QDROs

What We Look For in a Candidate

• J.D. or L.L.B. degree from an accredited law school

• At least 8 years of legal practice, with expertise in U.S. defined benefit, defined contribution and health and welfare plans

• Compliance with the rules, including licensing rules, of the State Bar in the state where the attorney is officed

  • A commitment to doing great work at a high level of engagement, a passion for continuous improvement

  • Excellent verbal and written communication skills; able to communicate technically complex issues in understandable and actionable ways

  • Excellent analytical and critical thinking skills; able to see the big picture and distill key implications

  • The ability to meet tight deadlines and prioritize a varied workload in a fast-paced and demanding environment

  • Demonstrated commitment to compliance, integrity, quality and effective management of legal risk

  • Ability to collaborate, build cross-functional relationships, gain trust and credibility, and partner effectively at all levels

This position is eligible for either short-term incentives or sales compensation. Director and VP positions also are eligible for long-term incentive.
