American Express VP & Senior Counsel – Strategic Technology Transactions in New York, New York

As a member of the Technology and Digital Law Group of the General Counsel’s Organization, the VP & Senior Counsel will support and coordinate negotiations on a range of strategic and innovative transactions involving technology, and serve as a global subject matter expert.

The successful candidate will need to draw on deep expertise in outsourcing and technology transactions together with financial services regulatory and domain expertise to solve problems within the context of novel transactions.

The role will require significant collaboration with other internal lawyers as well as interaction with our business people at various levels of seniority. The role will also require maintaining knowledge of industry and market trends applicable to new technologies and new types of business partnerships within the financial services industry. An important part of the role will involve sharing and educating other internal lawyers on both traditional and cutting edge technology law issues.

Core Responsibilities:

Core responsibilities will include:

  • Supporting negotiations and discussions with vendors and partners, including providing thought-leadership and strategic oversight to initiatives involving multiple related transactions

  • Assembling and leading ad hoc teams of internal lawyers to coordinate across related transactions, and ensuring the occurrence of robust knowledge sharing, linking of strategies and issues, and report outs and escalations to senior department personnel

  • Providing specialist support as a technology transactions lawyer with respect to products and transactions being handled by other lawyers, including the development of toolkits, policies and training materials and programming

  • Tracking industry, legal and market developments

  • Developing and leveraging relationships with business colleagues throughout the company working on digital, fintech and emerging technology products

  • Developing and maintaining a robust external network of fintech lawyers and emerging technology lawyers for purposes that include sharing best practices and sharing information on emerging trends and issues

  • Partnering with our government affairs and regulatory relations teams to monitor and assess potential new regulations and legislation

  • Supporting governance, compliance and risk management teams and practices


Minimum Qualifications:

  • J.D. with admission to practice law in the United States

  • 8 years of work experience involving outsourcing and technology transactions in a law firm and/or in-house corporate legal environment

  • Experience structuring, drafting, serving as legal lead, and negotiating outsourcing transactions and other high value, complex transactions

Preferred qualifications:

  • Experience working at or with technology and financial services companies

  • Prior experience in an “outsourcing,” “technology transactions,” “IP transactions” or equivalent practice group

  • Experience with payments and banking regulations (debit and deposit a plus)

  • Experience drafting and negotiating strategic partnership, strategic alliance and similar agreements

  • Experience supporting M&A transactions, including Transition Services Agreements (TSAs)

  • Experience drafting and negotiating intellectual property licenses
