Head the firm’s Luxembourg Funds practice. Provide global project management for asset managers setting up fund platforms which include funds in various jurisdiction including US, Cayman and Luxembourg, from working and liaising with STB US funds team to coordinating with local counsel in foreign jurisdictions, service providers and other advisors to develop efficient and timely structures establishment. Provide advisory legal services in connection with Luxembourg private fund formation matters. Coordinate and supervise drafting of offering documents, governing and letter agreements on behalf of sponsors of Luxembourg private funds, co-investment vehicles and separately managed accounts; negotiate with investors’ counsel and manage fundraising and post-closing processes. Negotiate agreement terms with all third party service providers which a Luxembourg fund must appoint (depositary, central administration agent, auditor). Provide regulatory compliance advice for global fund managers relating to EU regulatory rules (pre-marketing/marketing rules, AML-KYC requirements, and more). Represent asset managers in connection with fund interest transfers, secondary transactions, upper-tier arrangements and other corporate governance matters from a Luxembourg perspective. Coordinate and liaise with Luxembourg regulator (the CSSF) on behalf of sponsors for any matter concerning their Luxembourg funds. Supervise associate attorneys, staff attorneys, paralegals and legal assistants. Manage client relationships including budgeting, billing and other administrative matters.Requires Juris Doctor or Master’s degree in Law, or foreign equivalent.Must have six years of experience representing asset managers in connection with formation of Luxembourg private funds, fundraising, ongoing operational matters and regulatory compliance matters, including coordinating work across various jurisdictions.Experience must include advising asset managers with respect to matters under the EU regulatory framework for private funds, including AIFMD, CBDF, SFDR.Must be fluent in written and spoken French with the ability to communicate with Luxembourg counterparts in French.Regular trips to Luxembourg, and periodic international and domestic travel, is required.

Minimum Salary: 550000 Maximum Salary: 600000 Salary Unit: Yearly
