Serve as an integral member of the Product Legal team in the provision of legal and regulatory support and counsel to the Group worldwide. The purpose of this role is to cover a substantial breadth of in-house legal functions including full quantitative hedge funds lifecycle, U.S. and E.U. securities and fund-related legal and regulatory analysis and advice, including Advisers Act, Investment Company Act, Securities Act, Exchange Act and ERISA, E.U. UCITS Directive, E.U. AIFM Directive, E.U. SFD Regulation and Taxonomy, Irish and Luxembourg fund laws and regulations, as well as general corporate and commercial matters, such as corporate governance and commercial contracts. Work closely with the global Legal Department including Man AHL and Man Numeric. Manage all legal aspects of separate accounts and fund lifecycle including launch (preparation and negotiation of all offering and governing documents) and operation (including negotiation of material contracts and letter agreements with investors) in different jurisdictions (including, without limitation, U.S., Cayman Islands, British Virgin Islands, Ireland, Luxembourg) requiring coordination with local counsel and regulators globally (and in particular the Central Bank of Ireland and Luxembourg Commission de Surveillance du Secteur Financier). Lead legal negotiations with clients, financial institutions and service providers on multitude of legal and commercial issues. Advise Man with respect to U.S. and E.U. legal and regulatory developments. Assist in U.S. and E.U. regulatory matters and developments in relation to fund and SMA products. Prepare, and/or oversee external counsel preparation of offering and ancillary fund documents. Provide legal advice and assistance regarding Man fund range and SMA clients to internal stakeholders including Central Management, Portfolio Management, Sales, Marketing, Operations, Tax, and Compliance. Maintain and update templates and other standardized legal documentation. Create and oversee internal legal processes to drive team efficiency. Liaise with fund and AIFM boards of directors. Assist with internal corporate governance matters as needed. *Position is eligible to work hybrid, requiring at least 2-3 days per week in the NY Office, with manager approval.LOCATION: 1345 Avenue of the Americas, 21st Fl., New York, NY 10105SALARY: From $241,571 to $250,000 per year.REQUIREMENTS:Juris Doctorate, LLM or foreign equivalent and 10 years’ experience as lawyer in investment management. Must be Admitted to practice law and in good standing in the State of New Yorkand/or the Commonwealth of Massachusetts. 3 years of experience working with top-tier quantitative hedge fund or 5 years of experience working in an international fund practice; and experience with negotiations of investment management agreements with separately managed accounts clients, fund documentation and side letters with fund investors is required. Advanced expertise with U.S./non-U.S. funds and separate account structures and U.S./E.U. legal/regulatory issues and their impact on investment funds.
