Equitable Holdings - Governance Counsel / Assistant Corporate Secretary

This role will be responsible for helping to lead and oversee all corporate governance functions for Equitable Holdings (EQH) and AllianceBernstein (AB), ensuring that the companies operate in compliance with all relevant regulations, laws, and best practices. This role will manage a team focused on corporate governance and will act as a strategic partner in advising senior management and the board of directors of EQH and AB. Experience leading, structuring, and negotiating complex transactions including mergers, acquisitions, dispositions, joint ventures, capital markets and other strategic transactions is preferred.

The position is based in New York City. The base salary range for this position is $200,000-$250,000. Actual base salaries vary based on skills, experience, and geographical location. In addition to base pay, Equitable provides compensation to reward performance with base salary increases, short and long-term incentive compensation opportunities, and spot bonuses. Key Responsibilities :

Fiduciary Support:

  • Ensure that the Board and its Committees have the necessary information and analysis to support Directors in meeting their fiduciary responsibilities.

Shareholder Relations:

  • Research and respond to shareholder requests for information promptly and accurately.

  • Assist with shareholder engagement program and participate in shareholder and proxy advisor meetings, as appropriate.

Annual Shareholder Meetings:

  • Take primary responsibility for organizing annual shareholder meetings.

  • Draft proxy materials, addressing shareholder proposals and ensure compliance with stock exchange corporate governance and notice requirements.

Board and Committee Meetings:

  • Coordinate schedules and prepare materials for all Board and Committee meetings.

  • Distribute meeting materials in a timely manner.

Director Onboarding:

  • Oversee the onboarding and training of new directors, ensuring they are well-integrated and informed.

Corporate Documentation:

  • Maintain and manage key corporate documents and records, ensuring accuracy and accessibility.

Governance Advisory:

  • Stay updated on relevant governance matters, practices, and trends.

  • Create and maintain policies and procedures relating to corporate governance.

  • Advise the Board and Management on any changes, where appropriate.

Board Evaluations:

  • Assist with the administration of Board, Committee, and Director evaluation processes.

  • Support any changes to Board policy or processes resulting from evaluations.

Subsidiary Management:

  • Oversee subsidiary maintenance, ensuring compliance with legal requirements and corporate governance while providing legal counsel and guidance to support business operations.

Section 16 Compliance:

  • Maintain responsibility for Section 16 reporting and ensure compliance with other Section 16 requirements.

Qualifications

Experience:

  • Corporate counsel with 8 years of relevant experience including corporate governance experience providing legal advice to highly complex and regulated public companies.

  • Prior experience as a Corporate Secretary or Assistant Corporate Secretary at a public company, including managerial experience.

  • Prior experience working on structuring and negotiating complex transactions including mergers, acquisitions, dispositions, joint ventures, capital markets and other strategic transactions.

  • Experience advising C-Suite, Boards of Directors and Senior Leaders.

Skills:

  • Excellent interpersonal, communication, organizational, and analytical skills.

  • Detail-oriented and flexible.

  • Insurance law experience is preferred.

  • Experience building and leading high performing diverse teams
