The Role:Roc Nation, a Live Nation joint venture, is seeking an Associate General Counsel – Mergers & Acquisitions (M&A) who will report to the CEO. The position is based in our New York City headquarters and will play a critical role in the future growth and success of the most influential sports and entertainment agency in the world – Roc Nation. The successful candidate will be a hands-on, highly motivated individual who functions with confidence and expertise in a fast-paced and rapidly changing business environment.

Responsibilities:• Oversee and advise on all legal activity related to mergers, acquisitions, partnerships, and JV’s.• Coordinate both internal and external parties to effectively negotiate and execute deals.• Structure, draft and negotiate various music and entertainment industry related M&A agreements.• Coordinate with outside counsel as needed.• Coordinate with other areas of internal legal counsel.• Develop and maintain a repository of M&A legal resources that are required for company business needs.• Organizing and maintaining a record-keeping system of the company’s M&A legal and transactional documents.

Qualifications & Experience :• Must have a J.D. degree, and a minimum of 7 years of relevant, legal experience at a premiere law firm where you specialized in mergers, acquisitions, partnerships, and JV’s, or in-house at an acquisitive company in a relevant sector (music, sports, entertainment).• Strong experience in negotiating and structuring complex transactions including acquisitions, investments, JVs, partnerships, etc. • Must possess a solid understanding of structural and corporate issues pertaining to M&A transactions in order to advise the CEO and internal stakeholders appropriately.• Current active member, in good standing, of the New York State Bar or out-of-state bar association with eligibility to register as in-house counsel.

Requirements:• Ability to multi-task, cover a high volume of deals simultaneously, and work independently to structure, negotiate and expeditiously close both simple and complex transactions.• Knowledge of the music and overall entertainment industries and related M&A legal trends and business practices. • Excellent transactional drafting, negotiation and organizational skills.• Ability to develop highly effective and productive working relationships within department and throughout Roc Nation. • A strong work ethic with an eye toward action, change, speed and revenue growth strategies.
