Your day at NTT DATA

The Senior Mergers and Acquisitions Specialist is an advanced subject matter expert, responsible for playing a pivotal role in driving strategic growth and business expansion through the expertise in mergers, acquisitions, and corporate transactions.

This role covers financial analysis, due diligence, and negotiation strategies, to evaluate potential targets, executing deals, and ensuring seamless integration post-transaction.

What you'll be doing

Key Responsibilities:

  • Collaborates with the senior leadership to identify and evaluate potential merger, acquisition, and partnership opportunities that align with our strategic objectives.

  • Provides support to the executive team regarding potential mergers and acquisitions opportunities and their impact on the organization.

  • Performs financial analysis, due diligence, and risk assessments to evaluate the viability and value of potential transactions.

  • Assists in negotiations by providing insights and analysis on valuation, terms, and conditions to support decision-making.

  • Coordinates due diligence processes, involving legal, financial, operational, and other functional teams.

  • Ensure that all aspects of due diligence are conducted thoroughly and efficiently to uncover potential risks and opportunities.

  • Builds and maintains relationships with key internal stakeholders, including executives and functional leaders.

  • Identifies and assesses potential risks associated with mergers and acquisitions transactions, developing mitigation strategies and contingency plans.

  • Drives compliance with legal, regulatory, and ethical considerations throughout the mergers and acquisitions process.

  • Drives market analysis, monitors competitive activity and evolution of technologies.

  • Develops financial models, valuation analyses, and forecasts to support investment decisions and business cases.

  • Prepares and reviews documentation, including term sheets, agreements, presentations, and reports, to facilitate deal execution.

Knowledge and Attributes:

  • Advanced understanding of financial modelling, valuation techniques, and due diligence processes to assess the financial aspects of potential deals accurately for region / business area.

  • Advanced understanding relevant legal and regulatory frameworks associated with mergers and acquisitions transactions, including compliance with antitrust, securities, and corporate laws.

  • Advanced knowledge of industry trends, competitive landscape, and emerging opportunities to inform strategic decisions and target identification.

  • Advanced knowledge of post-merger integration methodologies, best practices, and challenges to ensure a smooth transition of acquired companies.

  • Recognized internally as an advanced subject matter expert with the ability to work on significant and unique issues where analysis of situations or data requires an evaluation of intangibles.

  • Excellent communication skills to effectively convey complex financial and strategic information to different audiences.

  • Strong critical thinking skills to evaluate potential targets, assess synergies, and make informed decisions.

  • Ability to build and maintain relationships with key stakeholders, both internal and external.

  • Effective presentation skills to communicate mergers and acquisitions strategies, opportunities, risks, and outcomes.

Academic Qualifications and Certifications:

  • Bachelor's degree or equivalent in Finance, Business Administration, or a related field preferred.

  • Advanced degree (MBA) is preferred.

Required Experience:

  • Advanced demonstrated experience in a similar role gained within a global matrixed organization.

  • Advanced demonstrated experience making effective decisions through the analysis of information and proficient deal analysis, negotiation and execution.

  • Advanced demonstrated experience of accounting concepts and corporate finance.

  • Advanced expertise in financial modelling, valuation techniques, and due diligence, resulting in accurate assessments of potential targets and well-informed decision-making.

  • Advanced experience presenting mergers and acquisitions opportunities, strategies, and outcomes to executive stakeholders, showcasing an ability to convey complex matters clearly and persuasively.
