There is a permanent position within the EMEA Legal division for a qualified lawyer to be based in Milan, with a focus on providing legal and regulatory advice to the Firm's entities and branches in Milan (including MSESE Milan branch, MSIM FMIL Milan branch and Morgan Stanley SGR). The role will involve providing coverage of relevant business units in Milan, advising on company law issues, engaging with Italian regulators, and providing Company Secretarial services. It may also involve providing support on litigation, employment, technology, and other enterprise-wide advisory services.

The Milan Legal function works in close cooperation and dialogue with product coverage & specialist lawyers in other EMEA jurisdictions and with the Compliance and Global Financial Crimes functions in Milan & across EMEA. The role requires a hands on collaborative approach across the team's portfolio of work as it continues to evolve.

What will you be doing?

Business Unit Coverage

  • Legal advisory services to Business Units - namely Investment Banking, Global Capital Markets, Investment Management and Sales & Trading - including:
  • Dealing with legal matters arising from the relevant business unit's activities locally, including contract reviews, client negotiations, confidentiality agreements and advising on the Italian aspects of transaction documentation
  • Providing support on projects, new business initiatives, including involvement in the NPA, franchise, conflict, and other internal risk control processes
  • Advising on domestic and cross-border licensing and regulatory requirements to support business activities and providing guidance on local market practice
  • Working closely with EMEA Regulatory Affairs to identify and assess new Italian and EU regulatory initiatives that are impactful to the business and operations in Milan
  • Briefing internal committees and Milan stakeholders as appropriate, supporting the provision of relevant training, managing external counsel relationships locally and complying with relevant divisional processes

Entity level/Company Law Coverage

  • Assist with legal and regulatory advice to Firm Management and other stakeholders on governance, legal entity management, outsourcing, internal controls, and related prudential regulatory issues.
  • Provide local Company Secretarial support as necessary, working with the company secretarial functions in London and other EMEA jurisdictions
  • Enterprise-wide Legal Advisory Services

What we’re looking for:

  • Qualified Italian lawyer
  • Strong understanding of corporate/finance law and the financial services regulatory regime applicable in Europe
  • Excellent communication skills (in both Italian & English), with an ability to impact and influence senior colleagues
  • Collegiate / team player but with the ability to work independently to drive matters forward and represent the Legal & Compliance Division

Skills that will help you in the role:

  • Knowledge of any of the relevant business / product areas would be useful but not essential
  • Experience working in-house
  • Problem solver with ability to tackle new areas of law without prior experience
  • Proactive, highly organized, able to prioritize and manage multiple tasks.

The lawyers and other professionals of the Legal & Compliance Division provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the Firm's invaluable reputation for integrity and protect the Firm from sanctions with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the Firm's businesses.
