Corporate Paralegal

Alliance Defending Freedom is looking for a highly professional Corporate Paralegal to join us in our Lansdowne, VA Office. As a Corporate Paralegal, you are a vital part of the Corporate Counsel team. In this role, you will report to the Deputy General Counsel or Senior Corporate Counsel and are responsible for assisting the Corporate Counsel team with a variety of legal support services including conducting legal research on nonprofit corporate issues, preparing and filing company documents, contract management, document review, preparation of policy updates, maintaining the organization’s corporate records, and assisting internal departments with matters related to corporate compliance.

Your Essential Responsibilities:

  • General Support:

    o Assist Corporate Counsel team attorneys with a variety of projects related to corporate compliance, recordkeeping, and programs.

    o Assist with due diligence matters by organizing and reviewing documents.

    o Draft correspondence and documentation under attorney supervision, responding to internal and external inquiries as appropriate.

    o Responsible for support related to corporate litigation, mediation, and arbitration.

    o Administrate matter management program for Corporate Counsel team and assist team with meeting and tracking deadlines, managing team data and information, and creating team reports.

  • Contract and License Management:

    o Review and prepare initial drafts of various types of contracts including vendor agreements, non-disclosure agreements, and employment contracts.

    o Track contract status, deadlines, and renewals.

    o Manage contract database, setting access levels, levels of authority, and training users.

    o Track, maintain, and renew the ministry’s corporate licenses.

  • Legal Research and Reporting:

    o Conduct legal research on nonprofit corporate law issues, including state and federal regulations, to support legal decision-making for the ministry.

    o Assist the corporate counsel team in creating and distributing reports to executive leadership and to the board of directors.

    o Provide regular reports and summaries to the Deputy General Counsel regarding new legislation and regulations that affect the ministry.

  • Document Preparation and Recordkeeping:

    o Assist with the preparation and filling of corporate documents with relevant state and federal agencies, including state charitable registration and exemption filings.

    o Assist the Finance and Human Resources departments with audits and internal investigations as needed.

    o Maintain accurate and up-to-date corporate records and policies.

  • Compliance Support:

    o Assist with implementing and maintaining corporate compliance programs, including monitoring regulatory changes and ensuring adherence to relevant laws.

    o Collaborate with the Human Resources and Finance departments and other relevant stakeholders to ensure company policies are up-to-date and in compliance with state and federal laws and uploaded to the company intranet site.

Skills you need to succeed:

Demonstrated proficiency in:

  • Legal research tools and software

  • Microsoft Office software, including Word, Excel, and Outlook

  • Excellent time management skills with a proven ability to meet deadlines

  • Strong analytical and problem-solving skills

  • Excellent verbal, written, and interpersonal communication skills

Ability to:

  • Maintain confidentiality, and to exercise discretion and good judgment

  • Effectively manage multiple competing tasks and meet deadlines

Education and/or experience:

  • Associate degree required, preferably in Paralegal Studies or related field; bachelor’s degree in Paralegal Studies or related field preferred

  • 5+ years of corporate paralegal experience required

  • Paralegal certification preferred
