FM Asst. General Counsel, Corporate Affairs in JOHNSTON, Rhode Island

The Corporate Affairs Division of the Law & Governmental Affairs Department is a global team of 25 attorneys, paralegals, compliance professionals and secretaries with responsibility for the provision of general corporate, regulatory, compliance and legal services to the FM group globally. Although the majority of the team is located in the FM corporate office in Johnston, Rhode Island, the team is also represented in the company’s operations in Latin America, the UK, the European Union and in Asia-Pacific.

Corporate Affairs advises the FM group on a broad range of matters, including regulatory compliance and corporate governance, insurance and reinsurance matters, contracts and transactions (including joint ventures and strategic investments), innovation initiatives, privacy, security and intellectual property matters, employment matters, and a broad range of enterprise risk management matters.

Specifically, the team’s work includes:

• The development of policies and procedures relating to these areas of responsibility

• Dealings with regulatory authorities

• Monitoring and analyzing global legal and regulatory developments

• Oversight of contract review

• The procurement of corporate and individual licenses and permission

• The filing of regulatory returns and the maintenance of FM group entities in good standing

• The management of the group’s intellectual property; and

• Serving on the group’s governance bodies, such as Board’s, committees and working parties

The Corporate Affairs team is organized into four teams, one serving each of The Americas, Asia-Pacific and EMEA and one focused on secretarial, compliance and licensing work for the whole of the group. Each of these four teams reports, through a team manager, into this role, the Assistant General Counsel, Corporate Affairs, who reports to the FM Group Chief Legal Officer. This role therefore requires a strong understanding of the legal and regulatory environment within and outside the U.S., exceptional communication and leadership skills and the ability to work highly effectively with business leaders.

  • BA or BS, JD, & admission to at least one state Bar

  • 11-15 years of Law firm or corporate legal department

  • Range of corporate legal experience, preferably in a P/C insurance environment

  • Strong administrative skills

  • Valid Driver's License

  • Valid Passport

  • Willing to work onsite four days a week at our corporate headquarters in Johnston, RI as well as one additional day a week remotely

The final salary offer will vary based on individual education, skills, and experience.
