The Americas Tax Acquisitions & Alliances team works with the business to drive the inorganic growth efforts across Americas Tax.
Acquisitions are a key component of EY’s strategy and are critical to accelerating the transformation and growth of our firm. The Americas Tax Acquisitions & Alliances team helps by working with the business to better understand its strategy, identifying delivery gaps that could be filled with inorganic acquisition opportunities, working to source and initially assess targets, and ultimately supporting the execution of viable acquisition opportunities. The efforts are in close collaboration with other functions such as EY Corporate Development, Risk, Independence, Quality and local Tax leaders.
As the business continues to drive investment into inorganic growth, we are seeking a Project Manager to support with execution of acquisitions. This role will be part of Americas Tax Acquisitions & Alliances team, reporting into Americas Tax Acquisitions and Alliances leadership, and all the activities will be primarily focused on the Americas Area.
The opportunity
This role is for someone who can work effectively with EY Tax Leadership, relevant SSL (Sub-Service line) teams, Corporate Development Office (CDO), Risk, Independence, Quality, Consulting; and various other EY teams to successfully progress activities supporting EY Tax inorganic priorities.
The role will require a proactive attitude to effectively prioritize and scope work, agree outcomes and deliver according to timeframes, often managing multiple activities in parallel.
Your key responsibilities
The ideal candidate will have the ability to combine an understanding of strategy with business acumen and a pragmatic execution mindset in order to support the full life-cycle of a transaction.
A collaborative approach is also crucial, as the role requires the team to engage the wider acquisitions network across the firm including CDO and Area/Region based teams.
The day-to-day elements of the job fall under two categories:
(1) Deal execution and analysis
Work with deal sponsors to progress deals post-NDA, supporting the business / financial analysis of the target, business case development and guiding sponsors through our acquisition process
Support transaction management, working with the CDO, Legal, Tax, Risk, Quality, Independence, Talent and other teams on various workstreams to progress targets through due diligence, integration planning and execution of acquisitions
Support CDO with preparation of financial models for the team’s strategic acquisitions and transactions. Confer with the Finance function to understand the potential financial impact of such transactions
Assist CDO in providing business assumptions to be reflected in valuation / financial models
Work with senior team members to develop initial target valuation and pricing framework and/ or recommendations to evaluate opportunity
Support deal sponsors and leadership with the development executable integration plans
Secondary deal execution activities you may be asked to be involved in:
Identify key priority areas for focus of acquisition activity
Work with range of stakeholders across Americas identify potential acquisition targets
Coordinate with the research team to gather preliminary information on the target to review with stakeholders
Build acquisition target pipeline
(2) Project Manage key activities to support the execution of the Tax inorganic strategy:
Updating pipeline of deals, working with sponsors and other members of the acquisition network to ensure the inorganic pipeline is maintained and proactively managed
Supporting transaction teams with project management during the various stages of an acquisition/transaction working closely with the target, CDO and SSL
Organizing and reconciling due diligence documents according to the various due diligence workstreams (e.g., General Counsel Office, Independence, Talent, Technology, Legal, Financial and Tax)
Maintaining weekly action/issues/risk log during due diligence phase
Maintaining other key strategic acquisition documents related to specific transactions
Participating in activities to communicate and engage stakeholders in the inorganic strategy and / or progress of key acquisitions
Developing post-close integration approaches and plans
Monitoring post-close performance
Skills and attributes for success
Willingness to learn about a new sector / industry
Experience with investment/business case development and evaluation.
Must be able to understand / interpret financial statements to assess the health of a business
Ability to work with and motivate a variety of global stakeholders to deliver successful projects and initiatives
Be proactive and innovative with an ability to anticipate risks and mitigate accordingly
Strong strategic thinking to be able to understand how a target aligns with the Tax strategy and future direction
To qualify for the role, you must have
Three plus years of relevant work experience
Bachelor’s degree in Business, Economics, Finance or equivalent required. MBA or legal degree is a plus
Experience executing deals (i.e. from business case development through to close, and post-close integration).
Demonstrated aptitude for quantitative and qualitative analysis, including strong Excel and financial modelling skills
Strong project management skills, the ability to prioritize work, and meet tight deadlines and be comfortable working independently with minimal guidance
Strong written and oral communication skills (i.e. be able to create succinct executive level PowerPoint presentations and business cases, highlighting relevant financial and strategic elements of the deals)
Understanding of and interpreting financial statements to assess the health of a business
Ideally, you’ll also have
Business modelling experience (i.e. be able to input into models to quantify acquisition synergies).
Experience developing integration plans and supporting the business to achieve the original business case benefits.
A detail-oriented nature e.g. listening to what senior stakeholders want and being able to translate this into high quality busines cases / acquisition strategies, ensuring pipeline reports are accurate, etc.

What we offer
We offer a comprehensive compensation and benefits package where you’ll be rewarded based on your performance and recognized for the value you bring to the business. The salary range for this job in most geographic locations in the US is $105,600 to $174,200. The salary range for New York City Metro Area, Washington State and California (excluding Sacramento) is $126,700 to $198,000. Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills and geography. In addition, our Total Rewards package includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options. Under our flexible vacation policy, you’ll decide how much vacation time you need based on your own personal circumstances.
