Gannett Fleming Transystems is looking for an experienced and driven Staff Counsel to join our in-house legal team. Reporting to Senior Corporate Counsel, the Staff Counsel's primary focus is providing quality legal support, review, negotiation and advice related to the company's contracts with clients, subcontractors and vendors such as public entity and private client agreements, professional service agreements, requests for proposals/qualifications, confidentiality agreements, teaming agreements, joint venture agreements, etc. The Staff Counsel may also be assigned other tasks as needed, including, but not limited to, conducting legal research, supporting corporate compliance, coordinating document discovery, and other legal matters to be completed under the oversight of the General Counsel and/or Senior Corporate Counsel, as designated by the supervising Senior Corporate Counsel.
Essential Functions and Responsibilities:
- Review, interpret and analyze contractual language and negotiate contracts, as needed.
- Advise internal stakeholders related to contractual obligations and other legal and regulatory requirements to help ensure business is conducted in compliance with applicable requirements.
- Develop deep understanding of the company's business and approach to contracts and contribute to the legal department's continuous improvement efforts related to contract review, negotiation and management.
- Perform legal research of case law, statutes, regulations, and secondary sources, on questions that arise in connection with the company's business, and draft memoranda to advise on findings.
- Support the General and/or Senior Corporate Counsel on litigation, contract dispute or other dispute resolution matters, such as communication with insurance carriers, coordination of document discovery, and maintenance of legal records.
- Must hold a Juris Doctor degree.
- Must have an active bar admission in at least one (1) state.
- Minimum two years of post-graduate professional legal experience, preferably involving contract review and negotiation.
- Strong attention to detail, with excellent analysis and research skills.
- Problem-solving and troubleshooting abilities.
- Ability to multitask and balance competing, time-sensitive work priorities.
- Strong verbal and written communication skills.
- Experience with a range of office software such as Office 365 (Excel, Word, SharePoint, and Outlook) and Adobe products.
- AEC industry experience.
- Experience with contract lifecycle management systems and/or use of artificial intelligence to assist in contract review.
