Project Finance Counsel

Our client, a very prestigious renewable energy client, is looking for an experienced Project Finance Attorney to join their legal team. The successful candidate will be instrumental in structuring, negotiating, and finalizing project financing transactions for community solar projects. This role demands a comprehensive grasp of project finance, renewable energy, and associated legal and regulatory frameworks. Responsibilities will include:

• Structure and negotiate debt and equity financing for community solar projects.

• Collaborate with financial institutions, investors, and banks to secure funding.

• Draft and review financial agreements, including loan agreements, power purchase agreements (PPAs), and investment contracts.

• General corporate governance and commercial contracting

• Commercial Contract management

Qualifications would include:

• Juris Doctor (JD) degree from an accredited law school.

• 5 plus years of experience in project finance, preferably in the renewable energy sector.

• Strong comprehension of project finance structures, financial instruments, and investment mechanisms.

Requirements

• Must have a minimum of 5 years of experience in the field of law, preferably within the Energy/Natural Resources industry.

• Must hold a valid license to practice law.

• Experience in Conveyancer and Document Management is required.

• Proven experience in handling Commercial Construction Projects and Project Finance.

• Expertise in Counseling and providing Counsels is necessary.

• Experience in Financial Counseling, Equity Financing, Equity Loans, and Equity Transaction is desirable.

• Must have a strong background in Commercial Contracts, Contract Compliance, Contract Administration, Contract Law, Contract Negotiation, Contract Terms, and Contracting.

• Proficiency in Contracts Finance, Debt, Debt Financing, Construction Loans, Loan Agreements, Loan Structure, and Commercial Loans is a plus.

• Experience in managing Loan Work-Outs is necessary.

• Must have excellent analytical, negotiation, and communication skills.

• Demonstrated ability to handle multiple tasks in a fast-paced environment.

• Must be proactive, detail-oriented, and able to work independently as well as part of a team.

• Strong ethical standards and integrity are required.
