Description
We are offering an exciting opportunity for an In House Counsel to join our team in the IT Software industry, based in DAYTON, Ohio. As an In-House Counsel, your key responsibilities will involve drafting, reviewing, and negotiating a diverse range of contracts.
Responsibilities:
• Draft, review, and negotiate a broad spectrum of contracts, including but not limited to licensing agreements and service agreements.
• Ensure all contracts comply with legal requirements and consistently work to mitigate any potential legal risks for the company.
• Maintain a deep understanding of Software As A Service (SaaS) and its applications within the company.
• Collaborate with various departments within the company to ensure the best legal practices are being followed.
• Carry out regular reviews of company policies and procedures to ensure legal compliance.
• Use your experience in a law firm or corporate legal department to provide sound legal advice and guidance.
• Work closely with partners and vendors to establish and maintain effective agreements.
• Continually monitor legal trends in the IT Software industry and advise the company accordingly.
• Address any legal inquiries within the company promptly and professionally.
• Manage and maintain accurate records of all company contracts and legal agreements.
Requirements • Must possess a minimum of 3 years of experience in an in-house counsel role, preferably within the IT software industry.
• Demonstrable expertise in dealing with legal issues pertaining to SaaS (Software as a Service) is mandatory.
• A strong understanding and practical experience with SAAS - Software As A Service is required.
• Proven ability to handle multiple projects and meet deadlines efficiently.
• Exceptional negotiation and communication skills are crucial.
• Must be able to interpret, analyze, and draft contractual documents effectively.
• Familiarity with IT software industry's laws and regulations is necessary.
• Should be able to provide legal advice and counsel to the management on a wide range of legal and policy issues.
• Proficiency in risk management and understanding of how legal issues affect organizations is required.
• Must hold a law degree from an accredited law school.
• Licensed to practice law in the state or be able to register as in-house counsel.
• Proven ability to work collaboratively in a team-oriented environment.
