Summary

Freeman is seeking a highly talented, energetic, results oriented, and business savvy Corporate Development leader as we deliver on our vision of redefining live for a new era. In a new evolution of performance excellence; profitable growth; uncompromising service and safety; and environmental sustainability; this critical hire will work with the executive leadership team to help shape and execute the company’s transformational merger, acquisition and divestiture strategy.

This position will support our Finance team. It is eligible to work a hybrid schedule, generally requiring work in-office and/or show-site 2-3 days per week. The ideal candidate will be based out of one of the following locations:

  • Chicago, IL

  • Dallas, TX

Essential Duties & Responsibilities

  • Act as a thought partner to the executive leadership team to support the development of the company’s value creation strategy. Present to the Board of Directors on proposed transactions and execution priorities. Collaborate with business units to drive transactions with maximum efficiency.

  • Lead strategic opportunities review on a regular basis with the senior management team and heads of business units to provide a holistic review of potential acquisition targets and divestiture opportunities from the enterprise perspective.

  • Monitor market developments and interpret potential implications for Freeman’s corporate development strategy to meet market requirements and challenges in a competitive industry.

  • Lead the entire lifecycle of corporate development activities, including the analysis and development of a pipeline of high priority, high value acquisition and divestiture opportunities. Establish best-in-class function.

  • Develop relationships with key industry contacts (investors; investment bankers; lawyers, accountants; and others) to ensure the company gets first and last look on deal flow.

  • Proactively source, screen, and develop the business case for the M&A process and provide thoughtful recommendations.

  • Assess acquisition targets with standardized financial models. Determine cultural fit and strategic alignment of management talent.

  • Manage M&A due diligence process, including financial evaluation, and coordinate with target company leadership and external advisors/partners to lead the resolution process of issues and obstacles to deal execution.

  • Drive deal execution and utilize negotiating strategies as required.

  • Develop and present strategic and financial analyses to senior management across multiple organizational functions and business units.

Education & Experience

  • 10+ years of experience in corporate development function, especially in executing M&As; strategy formulation and targeting; and developing organic/inorganic growth strategies.

  • Track record of developing and executing effective and profitable transactions preferred.

  • Significant experience in the consumer, media services and/or digital media sector within a business of similar scale.

  • A proven idea generator who has uncovered prospects to opportunistically grow a business.

  • Strong network in the business and banking community.

  • Proven ability to persuade and work collaboratively with a broad group of cross-functional stakeholders. Ability to band together a diverse group of executives to solve strategic problems and get buy-in from the organization. Ability to navigate ad-hoc and situational analysis at CFO direction.

  • Deep experience navigating financing structures and balance sheet considerations.
