Director, M&A Portfolio Management - Chicago, IL

This is a salaried exempt position.

Position Summary:

The Director, M&A Portfolio Management will work closely with key leaders across the organization to drive actions that shape ADM’s future portfolio of businesses. This position is part of the BDM&A group and focuses on business development, mergers and acquisitions, divestitures and JV Alliances.

Reports to: VP Global Business Development and M&A

Job Responsibilities:

Mergers & Acquisitions

  • Direct and lead the end to end M&A life cycle (sourcing, analysis and execution) of M&A/JV/Divestment projects

  • Direct and supervise building of complex financial models for merger, acquisition, divestiture and joint-venture activities, and own the process for key valuation metrics like business forecast, synergies, investment returns metrics, earnings per share, etc.

  • Partner with the Global PMO team to coordinate all due diligence activities across all primary functional areas such as Finance, IT, HR, Commercial, Operations, Procurement, Legal, Compliance, etc.

  • Direct development of scoping documents and other presentation materials to communicate the financial business case and strategic rationale to executive management including the CEO, CFO and BU Presidents.

  • Liaise with third party service providers such as consultants, accounting firms, investment banks, law firms.

  • Monitor progress of acquisitions post-Close to ensure effective integration and, as required, report metrics and recommended actions to leadership

Business Development

  • Act as a business and functional expert to support the Company’s strategic planning efforts to identify, assess and prioritize growth opportunities.

  • Perform both internal and external strategic analyses to become better informed about current business conditions and conduct landscaping studies.

  • Conduct competitor analysis and industry trends in key target markets

  • Assess alternative business models to ensure Company utilizes the most effective ways of selling its products to customers

  • In liaison with the commercial teams, build, track and maintain a robust pipeline of opportunities

  • Partner with the BU and Regional BD teams to develop and review the business cases for capital expenditures for growth and efficiency initiatives across all business units.

Negotiation Strategy and Support

  • Supports the setting of negotiation strategy and preparation for negotiation in any transaction

  • Lead key negotiation sessions along with senior business team

Job Requirements:

  • Bachelor’s Degree in Business or Finance, Master’s degree in business with 10-12 years’ post MBA experience in either corporate development or investment bank, management / strategy consulting, finance planning and analysis

  • Experience with acquisition and joint venture valuation, due diligence, transaction structure and negotiations

  • Demonstrated experience of structuring deals valued in excess of $100M

  • Confident, effective communicator with strong executive presence and influence

  • Superior analytical abilities including advanced knowledge of corporate financial and valuation theory. Excellent attention to detail required

  • Ability to identify and address cross-functional issues that may be relevant to completing or implementing acquisitions and alliances

  • Experience making decisions in intense and complex conditions

  • Demonstrate commercial acumen and desire to learn, preferably with experience in the food and agriculture sector businesses

  • Strong quantitative data analysis skills, including advanced Excel modeling skills and excellent Power Point skills presentation skills

  • Ability to communicate complex ideas effectively

  • Ability to work independently as well as in a team environment

  • Demonstrated capacity to perform in a fast-paced, Global work environment

  • Ability to manage multiple high-priority projects, problem-solve and execute successful transactions

  • Ability to build strong relationships at all levels within an organization

Base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. Hourly and salaried non-exempt employees will also be paid overtime pay when working qualifying overtime hours.

If hired, employees will be in an “at-will position” and the Company reserves the right to modify base pay (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.

The pay range for this position is expected to be between:

$174,000.00 - $324,000.00

Salaried Incentive Plan:

The total compensation package for this position will also include annual bonus and a long-term incentive plan
