The Health Division’s Health Learning, Research & Practice (HLRP) organization is a fast-growing and innovation-driven healthcare information technology (HIT) and content provider working in the dynamic field of medical, scientific, and academic research.

The HLRP organization is comprised of a group of operating businesses that includes Ovid Technologies, the HLRP Journals business, the HLRP Books business, the Nursing Solutions business and Audio Digest.

Ovid Technologies (“Ovid”) is an internationally recognized leader of electronic medical, scientific, and academic research information solutions. By providing a customizable suite of content, tools and services, Ovid supports the diverse research needs of its users worldwide - academic, medical, and corporate professionals and students seeking fast, accurate answers to important questions that help to fuel discoveries, explore topics, or research new theories. Ovid helps make research smarter, faster, and more effective by providing a powerful information search and discovery platform to access premier electronic content, including a growing list of 1,400 journals, over 6,000 electronic books, and more than 100 bibliographic and full-text databases, with innovative technology tools and specialized services to browse, search, retrieve, and analyze critical information.

The HLRP Journals business publishes over 300 print and online journals for physicians, nurses, and clinicians, as well as professional medical societies. These publications are delivered electronically through the Ovid platform and LWW.com.

The HLRP Books business provides medical, nursing and allied health professionals and students with comprehensive, high quality learning materials, licensure and certification exam review products, and practitioner references, in both print and electronic or online formats.

Nursing Solutions provides products that support clinical decision and competency management products for nurses and allied health staff. The Nursing Solutions products include Nursing Procedures, a step-by-step evidence-based guide to over 1,800 nursing procedures, and Nursing Advisor, a platform providing immediate access to the latest evidence-based information for nurses and health professionals.

Audio Digest develops, produces and distributes mobile-based medical educational and research products to healthcare professionals. Audio Digest’s products include audio and video lectures and presentations, streaming webcasts, and virtual poster halls. Many of Audit Digest’s products provide its customers with continuing medical education credit.

Reporting to the Assistant General Counsel for HLRP, this role is critical to the continued growth and evolution of the HLRP organization.

Position Location:

The Senior Counsel position will be based in our New York, NY office or can sit remotely anywhere in the U.S.

Basic Functions and Principal Responsibilities:

The Senior Counsel will provide legal advice and guidance to HLPR on commercial, contractual and general legal matters. In addition to handling general commercial, licensing and other contractual and corporate matters, this position will be responsible for the provision of legal advice on regulatory compliance and dispute matters.

Specific responsibilities will include the following:

  • Provide hands-on legal assistance in structuring, drafting, negotiating, interpreting and enforcing contracts for material and high-value commercial transactions, including (i) customer offerings and arrangements (including preparation of Software as a Service (“SaaS”), Platform as a Service (“PaaS”), licensing, subscription and/or implementation or services agreements covering offerings or services from a single or multiple HLRP businesses), (ii) hosting, technical development or outsourcing services arrangements with supporting third party vendors, and (iii) business rules, content or data procurement (via inbound licenses or purchases), software procurement and development, and other types of inbound licensing or purchase agreements from third party providers, as well as outbound customer licensing and services agreements.

  • Work closely with HLRP management on contractual and regulatory exposures and risks related to (i) development of new customer offerings or services and related customer agreement terms, (ii) existing enterprise and individual sales activities, and (iii) promotional and marketing activities.

  • Provide legal counseling on a broad variety of corporate, regulatory compliance and intellectual property matters impacting HLRP, including legal trends and issues related to HIT developments and regulatory initiatives, including data privacy regulation.

  • Develop a strong rapport and working relationship with HLRP stakeholders to help drive the delivery of effective and high-quality legal services that support the needs of the business.

Education and Experience:

  • Candidates are required to have both a bachelor’s degree and law degree (J.D. or L.L.B.)

  • Seven (7) or more years of progressively responsible corporate/commercial legal experience, preferably with a law firm and an established corporate law department.

  • Experience working on a variety of sophisticated domestic and international commercial contracts in the health industry (including those documenting intellectual property-intensive transactions), from structuring, negotiating and documenting appropriate contractual arrangements to advising on their implementation and post-signing management and interpretation.

  • Strong working knowledge of, and experience, with key health information technology and intellectual property legal concepts, including those relating to SaaS and PaaS subscriptions, software licensing, and e-commerce transactions.

Salary range: $140,000 - $200,000
