We are looking to hire an Assistant Region Counsel to be based out of the Northeast Region’s headquarters in Allentown, Pennsylvania. This position will report directly to the Associate General Counsel for the Northeast Region. The position will be a hybrid role, with the employee working between two and three days in the office and the remaining days of the week from home. The Associate General Counsel will discuss the specifics of this hybrid work arrangement with the right candidate.

The Assistant Region Counsel will be a key Heidelberg Materials’ law department member and have regular exposure to business leaders across the Northeast Region, specifically, and North America, generally. The Assistant Region Counsel will support the Associate General Counsel for the Northeast Region in managing the significant and varied legal needs of the region, including, but not limited to, the areas of contracts, employment, litigation, procurement, sales, logistics, operations, construction, government relations, real estate, health and safety, environmental, and MSHA/OSHA. Once the Associate Region Counsel settles into the role, they will also be responsible to take the lead on some projects, in addition to working collaboratively with the Associate General Counsel, other attorneys at the Corporate Headquarters in Irving, TX, and with outside counsel.

This is a great opportunity for an enthusiastic, detail and business-oriented attorney to work closely with Heidelberg Materials’ management and employees to achieve the company’s goals while evaluating and managing its risk.

What you will get to do:

  • Draft and review various agreements, such as purchase and sales agreements, service agreements, confidentiality agreements, settlement agreements, and land sale, purchase, option agreements, leases, and easements.

  • Provide timely advice and counsel to internal clients on various legal topics (contracts, real estate, employment law, environmental, health and safety, employee benefits, etc.).

  • Research and analyze legal issues and prepare executive summaries that translate complex legal language for a business audience.

  • Manage aspects of litigation matters and advise on pre-litigation disputes and resolutions.

  • Assist in gathering documentation and information in response to subpoenas and litigation discovery requests.

  • Draft and review various corporate documents, such as corporation and LLC resolutions, merger and dissolution filings, and bylaws and limited liability company agreements.

  • Provide in-house training on various legal topics, including anti-trust/competition law.

  • Assist with handling claims filed by federal, state, and local governmental agencies regarding permitting and licensing issues (MSHA/OSHA, DEP, DEC, EPA, DOT).

  • Handle other legal matters and duties as assigned by the Associate General Counsel – Northeast Region.

Essential Experience and Skills:

  • Ideally four to six years of relevant legal experience working at a well-regarded law firm and/or in-house with a corporate legal department.

  • Candidates must hold a Juris Doctorate (J.D.) or equivalent law degree from an accredited institution and be admitted to the bar in good standing in any state in the United States. Admittance in NY, NJ, PA, and/or MD preferred.

  • Ability to work independently, but also the willingness to ask questions and thoroughly discuss matters.

  • Strong interpersonal and communication skills.

  • Good negotiation skills with the ability to keep complex legal situations simple and clear, while striving to find a mutually agreeable outcome in an efficient, but risk-conscious manner.

  • Ability to quickly learn and grasp the legal significance of new and unfamiliar issues.

  • Capable of prioritizing and juggling multiple tasks in a fast-paced business environment in order to provide prompt legal support to business operations.

  • Possessing a go-getter attitude and the willingness to get your hands dirty and do what it takes to get the work done.

  • A willingness to be flexible and proactive in solving complex problems.

  • An eye for detail.

  • Desire to learn about business operations and other corporate departments and to become a trusted advisor to internal clients.

  • Openness to guidance by the Associate General Counsel – Northeast Region.

  • Demonstration to clients of a strong work ethic, good judgment, and the ability to provide solid legal advice.

  • Ability to travel, primarily within the Northeast Region, as needed.

Preferred Experience and Skills:

  • Experience in contracts and commercial law.

  • Experience working in or knowledge of the heavy building materials industry (cement, aggregates, and concrete).
