Broadview FCU Chief Legal Officer in Albany, New York

Overview of Your RoleThe Chief Legal Officer (CLO) is a key member of the executive leadership team and serves as the primary legal advisor to Broadview. The CLO is responsible for overseeing all legal matters, including corporate governance, regulatory compliance, litigation, contracts, and advocacy. This role requires a strategic thinker with strong leadership skills and extensive experience in these areas.

Accountabilities and Responsibilities

Legal Strategy and Leadership

  • Develop and implement Broadview’s legal strategy in alignment with overall business objectives.

  • Provide strategic legal advice to the CEO, Board of Directors, and senior management.

  • Lead and manage the Legal Department, including hiring, training, and mentoring legal staff.

  • Give accurate and timely counsel to the CEO and other executives on a variety of legal topics (bankruptcy, partnerships, corporate finance, collections, contracts, commercial and residential and commercial real estate, etc.)

  • Optimize Broadview’s legal spend with a combination of insourced legal work and effective outsourced assignments, implementing processes inside and outside where appropriate.

Corporate Governance

  • Ensure compliance with all corporate governance requirements and best practices.

  • Advise the Board of Directors on legal and regulatory matters.

  • Prepare and review board materials, minutes, and resolutions.

Regulatory Compliance

  • Oversee Broadview’s compliance with federal, state and local laws and regulations, including those specific to the financial services industry.

  • Ensure Broadview’s Compliance Department’s monitoring of regulatory changes and advise on their impact to Broadview.

  • Oversee Compliance Department and collaborate to develop and implement an effective Compliance Management System for a $10B+ organization.

Legal Risk Management

  • Identify and mitigate legal risks to Broadview.

  • Collaborate with Chief Risk Officer to develop and implement policies and procedures to minimize legal exposure.

  • Oversee Broadview’s litigation strategy and manage outside counsel.

Contract Management

  • Oversee Broadview’s Contract Department to ensure proper review, drafting, and negotiation of a wide range of contracts including member agreements, vendor contracts, etc.

  • Ensure all contracts comply with legal and regulatory requirements as required and protect Broadview’s interests.

Litigation Management

  • Oversee all aspects of litigation and dispute resolution.

  • Manage relationships with outside counsel and monitor litigation and outside counsel budgets.

  • Represent Broadview in legal proceedings as necessary.

Ethics and Compliance

  • Promote a culture of ethics and compliance throughout the organization.

  • Develop and deliver training programs on legal and regulatory topics.

  • Investigate and respond to legal and compliance issues as they arise.

Credentials, Experience and Skills

  • J.D. degree, and admission and status in good standing with the New York State Bar.

  • A minimum of 15 years of professional legal experience.

  • Experience with corporate finance.

  • Experience working with regulatory agencies such as NCUA and CFPB.

  • Prior experience as a General Counsel or Chief Legal Officer.

  • Proven track record of providing strategic legal advice at the executive level.

  • Excellent knowledge and understanding of corporate law and procedures.

  • Full comprehension of the influences of the external environment.

  • Demonstrated ability to create legal defensive or proactive strategies.

  • High degree of professional ethics and integrity.

  • Excellent analytical and problem-solving ability in complex environments.

  • Excellent interpersonal skills and the ability to inspire others.

  • Excellent organizational planning and follow-up skills.

  • Outstanding oral, written and presentation skills and the ability to understand. the needs of internal and external customers.

  • Experience working in a dynamic, fast paced environment.

  • Proven strategic leadership and executive management skills.

  • Excellent knowledge of general business and management principles, such as strategic planning, resource allocation, leadership, production methods, and coordination of people and resources.

  • Excellent ability to negotiate and manage complex commercial agreements, litigations, business processes and procedures.

  • Prefer experience in matters involving regulation and financial services.

  • Available to work flexible hours.

Starting Compensation: $250,000 - $300,000 plus a competitive benefits package.
